Terms of Service

Welcome to Porameta.com, operated by Porameta Developments Unipessoal Lda ("Porameta", "we", "us", or "our"). Porameta is a premium, agent-exclusive B2B commercial real estate marketplace operating in Portugal. By accessing our platform, registering an account, or signing a Non-Disclosure Agreement (NDA) through our site, you agree to be bound by these Terms of Service. If you do not agree to all terms, you must not use the Platform.

Porameta is strictly an intermediary platform connecting verified real estate professionals with global investors. Private sellers are strictly prohibited from listing properties on the Platform. To register as an Agent, you must hold a valid, active IMPIC AMI Licence. Porameta reserves the right to automatically or manually verify your AMI licence against government databases. We maintain sole and final discretion regarding platform safety. We reserve the right to decline, suspend, or delete any user account or property listing at any time if suspicious, inaccurate, or fraudulent activity is detected, without requiring external authorisation.

To access certain features you must register an account. You agree to provide accurate, complete, and current information during registration and to keep your credentials secure. You are responsible for all activity that occurs under your account. Porameta reserves the right to suspend or terminate accounts that violate these terms or contain inaccurate information.

Agents may choose between different account tiers. All payments are processed securely via Stripe. Porameta does not store full payment card details. Standard Account: Agents registering before 30 September 2026 receive up to 5 active commercial listings per month for free for the remainder of 2026. Registrations after 30 September 2026 will incur a fee of €5 per active listing per month. Featured Agent Programme: Agents may upgrade to Featured Agent status for €10 per month. This unlocks unlimited listings, priority search placement, and a premium profile badge. This subscription auto-renews monthly unless cancelled. A Featured Agent ("FA") number is issued upon activation and replaced with a Standard ("ST") number if the subscription lapses. DeepCheck Verification: Certain verification features, such as DeepCheck, are billed at a one-time fee of €10 per listing. All fees are stated in Euros and are non-refundable unless required by applicable law.

Agents are solely responsible for the accuracy and legality of all listing content they publish. Listings must relate to genuine, legally available commercial properties or businesses for sale in Portugal. Porameta does not verify the accuracy of listing content unless explicitly marked as "DeepChecked." The Platform may remove, reject, or archive any listing that violates these terms, contains false information, or is deemed inappropriate at Porameta's sole discretion.

DeepCheck is a paid per-listing verification service (€10 per listing). It involves an administrative review of documents submitted by the Agent. A "DeepChecked" badge indicates that submitted documents passed Porameta's review at a specific point in time — it does not constitute a legal audit, a guarantee of title, or investment advice. Buyers should conduct their own independent due diligence before making any investment decision.

Standard buyer accounts (Tier 1) may browse, save listings, and send inquiries. Tier 2 Verified Buyer status is available upon submission and approval of identity documents. Tier 2 verification unlocks access to sensitive financial documents (P&L, tax returns, legal audits, NDAs) on verified listings. Buyers and investors may be required to sign digital Non-Disclosure Agreements (NDAs) to view confidential property documents, financials, or floor plans. By signing an NDA on Porameta, you are entering into a legally binding confidentiality agreement with the listing agent or brokerage. Porameta facilitates this signature but is not a liable party to the NDA itself. Porameta reserves the right to reject Tier 2 applications without providing reasons.

Featured Agent status is available via a monthly subscription at €10/month. Porameta reserves the right to modify, suspend, or terminate the Featured Agent programme at any time. Featured status grants priority placement in agent directories and exclusive territory display — it does not constitute an endorsement of the agent's services.

You agree not to: (a) post false, misleading, or fraudulent listings or information; (b) impersonate any person or entity; (c) use automated tools to scrape, harvest, or extract data from the Platform; (d) attempt to gain unauthorised access to any part of the Platform; (e) use the Platform for any unlawful purpose or in violation of any applicable Portuguese or EU regulation; (f) harass, threaten, or harm other users; (g) circumvent any security or access control measures.

All content on the Platform — including the Porameta name, logo, design, text, graphics, and software — is the property of Porameta Developments Unipessoal Lda and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent. Agents grant Porameta a non-exclusive, royalty-free licence to display listing content (including photos and descriptions) on the Platform and in promotional materials.

The Platform is provided on an "as is" and "as available" basis. Porameta makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of any listing or content on the Platform. We do not guarantee the accuracy of property dimensions, yields, or energy certificates uploaded by agents. Nothing on the Platform constitutes financial, legal, or investment advice. Buyers are responsible for conducting independent due diligence before entering into any transaction.

Porameta acts solely as a digital marketplace. We do not broker deals, handle earnest money, or represent buyers or sellers in any real estate transaction. To the maximum extent permitted by applicable law, Porameta Developments Unipessoal Lda shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Platform. Any disputes arising from transactions are solely between the Buyer and the Agent. Users agree to hold Porameta Developments Unipessoal Lda harmless from any claims, damages, or disputes arising from transactions initiated on our platform.

You may request the deletion of your account at any time via your account settings or by contacting us through the Contact page. Upon deletion, your personal data will be removed in accordance with our Privacy Policy and applicable legal retention obligations. Certain data (such as transaction records and communications with other users) may be retained for the periods required by law even after your account is closed.

These Terms of Service are governed by and construed in accordance with the laws of Portugal. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, unless otherwise required by mandatory consumer protection law in your country of residence.

Porameta reserves the right to update these Terms of Service at any time. Continued use of the Platform after any changes constitutes your acceptance of the revised terms. We will notify registered users of material changes via in-platform notification.
